The following terms and conditions apply to all website development/design services provided by The Website Space Ltd (TWS) to the Client.
It is not necessary for any Client to have signed an acceptance of these terms and conditions for them to apply. By accepting a quote, the Client is deemed to have satisfied themselves as to the terms and have accepted these terms and conditions in full.
Please read these terms and conditions carefully. Any purchase or use of our services implies that you have read and accepted our terms and conditions.
Charges for services provided by TWS are defined in the project quotation sent via email and/or in writing. Quotations are valid for 30 days. TWS reserves the right to alter or decline to provide a quotation after the expiry of 30 days.
Unless otherwise agreed, all website design services require an advance payment of 50% of the project quotation total before work begins. The remaining 50% is due upon completion before going live.
Payment for services is due by bank transfer. Bank details will be made available on invoices.
All payments made to TWS are non-refundable. If TWS decides to issue a refund, it will be paid via BAC’s within 28 days of the refund confirmation email being sent by TWS.
TWS will provide the Client with opportunities to review the appearance and content of the website during the design phase and once the overall development is completed. Materials will be deemed accepted unless the Client notifies TWS otherwise within ten (10) days of the materials being made available.
TWS will install and publicly post or supply the Client’s website by the date specified in the plan of action sent via email and visible in the Client’s portal, unless a delay is specifically requested by the Client and agreed by TWS.
The Client agrees to delegate a single individual as a primary contact to aid TWS in progressing the commission in a satisfactory and expedient manner. During the project, TWS will require the Client to provide website content such as text, images, movies, and sound files.
TWS must ensure that scheduled work is carried out efficiently. If the Client fails to provide the required information one (1) week prior to the project completion date, TWS reserves the right to close the project, and the balance remaining becomes payable immediately.
Invoices will be provided by TWS upon completion but before publishing the live website. Invoices are due 14 days upon receipt. See the late payment policy for invoices unpaid.
The Client agrees to reimburse TWS for any additional expenses necessary for the completion of the work, such as special fonts, stock photography, or plugins. Payment for these materials is required before purchase.
TWS designs websites to work with the most popular current browsers (e.g., Firefox, Safari, Google Chrome). TWS cannot guarantee functionality with all browser software across different operating systems and reserves the right to quote for any work required to update the website for new browser versions. We like many other web development agencies do not cover or code for Internet Explorer as this has not been support by Microsoft since 2022.
Accounts unpaid thirty (14) days after the invoice due date will be considered in default. TWS may remove the Client’s material from its web space at its discretion. Removal does not relieve the Client of the obligation to pay outstanding charges. Clients in default agree to pay TWS reasonable expenses, including legal fees, incurred in enforcing these Terms and Conditions.
Termination of services by the Client must be requested in writing or via email and will be effective upon receipt. The Client will be invoiced for design work completed to the date of the first notice of cancellation, payable within thirty 14 days.
All TWS services may be used for lawful purposes only. The Client agrees to indemnify and hold TWS harmless from any claims resulting from their use of our service that damages the Client or any other party.
The Client retains the copyright to data, files, and graphic logos provided by the Client and grants TWS the rights to publish and use such material. The Client must obtain permission and rights for any third-party copyrighted materials used. The Client agrees to indemnify and hold TWS harmless from any claims resulting from the Client’s negligence or inability to obtain proper copyright permissions.
Unless specified otherwise, this agreement assumes that text will be provided by the Client in electronic format and all photographs and graphics in .gif, .jpeg, .png, or .tiff format. TWS will make reasonable attempts to return any materials provided but cannot guarantee their return.
A link to TWS will appear in small type at the bottom of the Client’s website unless hired as a white-label service. If the Client requests the link be removed, a fee of 20% of the total development charges will apply, or a fixed fee of £100 for charges under £500. The Client agrees that the developed website may be presented in TWS’s portfolio.
If the Client’s website is to be installed on a third-party server, TWS must be granted temporary read/write access to the Client’s storage directories via FTP. Additional resources may need to be configured on the server, depending on the project.
TWS cannot accept responsibility for any third-party alterations to the Client’s pages once installed. This includes additions, modifications, or deletions.
TWS can purchase domain names on behalf of the Client. Payment and renewal of those domain names is the responsibility of TWS. TWS is not responsible for loss or cancellation due to non-payment by the Client. The Client should keep records of payment due dates.
These Terms and Conditions supersede all previous representations, understandings, or agreements. The Client’s acceptance via email, text, or payment of an advance fee constitutes agreement to these Terms and Conditions.
This Agreement shall be governed by English Law.
TWS excludes itself, its employees, and agents from all liability for:
The entire liability of TWS to the Client for any claim or breach of this Agreement, whether or not arising out of negligence, shall be limited to the charges paid for the Services under this Agreement.
If any provision of this Agreement is held to be invalid, illegal, or unenforceable, the remaining provisions shall remain in effect. The invalid provision shall be replaced by a mutually acceptable valid provision that comes closest to the intention of the parties.
All development work provided by TWS comes with a three (3) month warranty from the date of going live or the date of project completion, whichever is earlier. This warranty covers any bugs or issues that arise as a result of the development work. Any issues reported within this period will be resolved at no additional cost to the Client.
TWS is committed to completing projects within the agreed-upon timelines. However, if the project has not been completed within twelve (12) months due to delays caused by the Client (including, but not limited to, failure to provide content, feedback, or approvals), TWS reserves the right to consider the project completed and invoice for the remaining balance. TWS may also close the project at its discretion, and any further work requested will be subject to a new agreement and quotation.
The Client agrees to respond to all communication from TWS, including emails and requests for content, feedback, or approvals, within seven (7) days. Failure to respond within this timeframe may result in delays to the project. If the Client does not respond within thirty (30) days, TWS reserves the right to consider the project as completed and invoice for the remaining balance. Any further work will be subject to a new agreement and quotation.
